1. Welcome to One Roof
 

One Roof is a growing community of ambitious, smart women.

 

It’s lovely to have you under our ‘one roof’ for everything women leaders and entrepreneurs need to support their journey.

✦  We are One Roof (aka One Roof Holdings Pty Ltd ACN 633 991 303 / One Roof Coworking Pty Ltd ABN 27 610 808 305

✦  You are either a Visitor if you visit our Site or attend a free event or a Member if you buy Services from us, such as a Membership or a paid Event.

We offer various Services to Members and Visitors including Events, a changing array of membership perks such as access to private platforms, digital networking, general business information, webinars, and other related products and services.

This document sets out how we deliver our Site and Services to you (Terms).

 

These Terms are our ‘house rules’ for everything that happens under our roof, including using our Site, attending events, and generally being part of the One Roof community.

2. About these Terms

Who do these Terms apply to?

 

You agree to these Terms when you access our Site or buy our Services, and they apply to our relationship with you.

If you don’t agree to these Terms or our Policies, then that’s okay, but you can’t access our Site or buy our Services.

Our agreement with you

 

Our agreement with you is set out in:

✦  specific Program Terms on our Site or agreed in writing with you for specific offers and services,

✦  these Service Terms, and

✦  our Policies (such as our Privacy Policy and Community Guidelines) as notified to you from time to time.

Together, these make up our agreement with you about how we will work together (Agreement).

If there is conflict between the different parts of our Agreement with you, the part listed higher in the above list takes priority to the extent of the conflict.

 

Other terms and conditions apply to specific Programs

 

From time to time, we might offer specific Events, opportunities for Members, and tailored Service offerings. If we do, there might be further terms that apply to those specific Services.

3. About your Membership
 

Member perks

 

We set out some of the perks we offer Members on our Site.

✦  These perks change from time to time based on various factors, including feedback from Members, availability from our suppliers, and our current business strategy.

✦  We may discuss changes with Members via our member platform, email newsletters, or at Events.

✦  We can add and change key Membership Perks by giving notice via our Site.

Tiers, offers, and scholarships

 

✦ From time to time, we may introduce new Services or add membership perks to different types of memberships or make various offers available for discounted Services. We’ll set the details out on our Site.

4. Paying for your Membership
 

We offer different Fee options for Membership:

✦  Monthly: If you choose to pay monthly, you pay via direct debit each month in advance.

✦  Annually: If you choose to pay annually, you agree to a 12-month minimum commitment and pay via direct debit every 12 months in advance.

 

Your Membership automatically renews

 

✦ At the end of your membership period (monthly or annually), your membership automatically renews for the same period using the same payment method.

Cancelling your Membership

 

✦  If you want to end your Membership, please let us know at least 7 days before it’s due to renew (i.e. 7 days before the end of your Membership Period).

✦  If you cancel your membership, you can access Membership Perks until the end of your current Membership Period.

5. Paying for Services – general
 

You must pay the Fees for Services you buy from us.

 

Prices on our Sites are in AUD (Australian currency) and include GST (if it applies) unless we clearly say otherwise.

Changing our Fees

We might increase our Fees from time to time. If we increase our Fees, we’ll give you at least 30 days’ notice.

✦ If we change our Fees, the change won’t affect you until your next Membership Period
For example, if we increase the cost of annual Memberships, it won’t affect you until it’s time to renew your Membership.

Other service terms

 

When you buy other products or services from us, specific Program terms may apply as well as these Terms.

✦ Generally, other specific terms will be set out on our Site or agreed with you in writing.

For example, if you sign up for a group mentoring Program, specific terms might apply such as how long the Program will run and how many webinar sessions are included.

 

Expectations

6. Behaviour and Community Guidelines

We expect all Visitors and Members to act in line with our Community Guidelines.

✦  The Guidelines aim to encourage the atmosphere of caring support and encouragement.

✦  One Roof is not responsible for any disputes among Members and Visitors.

✦  We may update our Community Guidelines from time to time, and will let you know via our Site or via email if we do.

7. Results from Services and One Roof Resources

Each Visitor and Member may experience different results.

Every founder and business are on a different journey. We can’t promise to get you onto the ‘rich list’ (but we’re happy to help you try!), however we will help support your ongoing business and career journey.

✦  We can’t guarantee particular outcomes or results from becoming a Member, attending an Event or using our Site.

✦  Your results depend on many different factors, some of which you can control, like your attitude and approach, and some, like pandemics and market downturns, no one can control!

✦  Testimonials from current or past Members and Visitors are examples of previous outcomes only.

For example, if you act on information from a webinar or Event and invest in a particular area of your business and that investment does not generate an immediate return, then we are not responsible for that outcome.

8. Using our Site

Use our Site in line with these Terms.

Our Site has materials, information, and Resources which we created using our cleverness and years of experience. We’re happy for you to access our Site but only if it as set out in these Terms.

✦  We grant you a limited licence to use our Site and Resources as set out in these Terms.

✦  Any other uses of our Site or Resources are not allowed unless we give our written permission.

We love collaborations, but our Resources are not for competitors

You must not use our Site or Resources in a way that competes with One Roof or breaches our IP rights.

If you want to collaborate or license our Resources for your own use, we’d be happy to chat.

 
9. We use reasonable care and skill

We use reasonable care and skill to deliver Services to you, however you agree that:

✦  We deliver our Services and Resources in good faith and you’re responsible for your use of our Services.

✦  We cannot promise our Services, Sites, or Resources will be continuously available or fault free.

    • If things outside our reasonable control impact our ability to supply the Site or Services, you agree we are not responsible for impacts on you as a result.
    • Some features of our Site or Services may be out of action occasionally when we update or maintain them.

Security

✦ Whilst we take reasonable care to support our Site’s security to protect your personal information and the Site’s integrity, we can’t 100% guarantee security.

    • External suppliers manage some parts of our Site (such as our presence on social media platforms), which you acknowledge we can’t control.
 
Information and Intellectual Property
10. Your privacy and information you give us

We handle information you send us in line with our Privacy Policy, available at our Site. When you access our Site, you consent to us collecting and using your information in line with these Terms and our Privacy Policy.

You give us broad permission to use images of you when you attend our events

If you come to our Events (online or face to face, free or paid), we might take images or recordings and this might include recordings of you.

✦ By attending Events, you grant us a broad, royalty-free, global license to take images of you and distribute license and otherwise use that content in all media types for promotional purposes.

11. Key confidentiality obligations

We may offer access to Resources, Events, networking, and co-working sessions.

✦  In these situations, you may be exposed to other peoples’ Confidential Information, and you may share some of your Confidential Information with us.

✦  We both agree to treat that information with a high level of security and care and not disclose each other’s Confidential Information.

12. Content you post

We may let you post or submit information or content to our Sites. If you post content, you grant us a broad global, royalty- free licence to use that content as we see fit.

✦  This means we might use and publicly display your content on our Sites.
For example, reposting positive comments you make on our Site about us or our business.

✦  If you post content on our Site, you are fully responsible for it.

✦  We don’t endorse or approve and are not responsible for content posted by Visitors or Members.

✦  We may decide (or be required!) to remove content posted by you at any time.

Feedback you give to us

If you give feedback in a public forum, you give us permission to use that content and related personal information publicly.

    • For example, we may take a screenshot of a positive Google review or Instagram story and use that material to promote One Roof.

✦  If you send private feedback, you give us permission to use that content anonymously on our Sites. We won’t attach private feedback to you by name without getting your permission first.

✦  If you give permission and later change your mind, let us know and we’ll make reasonable efforts to remove it.

13. We own our Site content

We own all Intellectual Property rights in our Site and in our Resources (or have permission to use the content).

✦  We grant you a limited license to make use our Resources to the extent required for you to make use of your Membership, a Service, or access our Site.

✦  We grant you a limited, single-use, revocable, non-exclusive, non-transferable licence for your personal use only.

    • For example, you can’t share webinar log in details or send Member only Resources to non-members.
14. Your obligations when accessing our Resources

We make some great Resources

Members and Visitors may have access to our Resources when they visit our Site, attend an Event, or as part of the Services we supply. We do not guarantee access to specific Resources for any set length of time.

✦  Some of our Resources are only available on a limited or single-use basis.

    • For example, recorded webinars may have an expiry date or we may remove some Resources altogether.

✦  As long as you link back to our Site and give credit where appropriate, you can sample and re-post up to 100 words on any other site.

Don’t be a jerk with the IP and creative genius of One Roof or other Members

Unless we give you permission in writing, you must not:

✦  modify, copy, reverse engineer, or create derivative works of our Resources;

✦  assign or transfer your account or access to Services or our Resources to anyone else; or

✦  sell, publish, claim ownership, or sub-licence our Resources.

If you do any of the above, you are in material breach of these Terms and your Agreement with us.

✦ As well as being pretty unimpressed with you, we may take action to protect our rights without further notice to you.

15. Working with us and our Expert Panel

If you book a session with our team, if you make use of our Expert Panel service, or if we offer information during an Event, you agree the discussions are general information only, not bespoke specialised advice.

✦  We recommend you get formal independent advice and consider if the information is right for your business.

✦  Unless we were acting in bad faith, we’re not responsible for issues that crop up from your work with the Expert Panel.

Experts are responsible for their own business

If you are accepted to be part of our Expert Panel, you agree you’re responsible for managing and providing information during any Expert Panel sessions.

✦  Unless we were acting in bad faith, we are not responsible for any issues that arise from your participation on the Expert Panel.

✦  Being on our Expert Panel is not an automatic perk of becoming a Member.

✦  If you are on our Expert Panel, we ask you to please provide helpful, accurate information, and not get into a hardcore sales call or business pitch.

✦  We’ll try to resolve issues with you first (see the Fixing Issues section), however we may remove you from our Expert Panel if we reasonably believe it is necessary to ensure our Members receive a quality experience or we otherwise feel that your business is no longer aligned with our Community Guidelines.

16. Ambassador Program

From time to time, we may open applications for brand ambassador roles to grow and support our community of Members in specific geographic locations (One Roof Ambassadors).

✦  There are no specific territories or hard borders for ambassador locations.

✦  You’ll need to meet our current eligibility criteria as well as comply with these Terms and our Community Guidelines.

✦  We may stop the Ambassador program at any time, or we may decide to reduce the number of Ambassadors.

✦  We’ll try to resolve issues with you first (see the Fixing Issues section), however we may remove you from our Ambassador Program if we reasonably believe it is necessary.

    • For example, if you stop being a Member, if you misuse our IP, if you are in breach of these Terms or our Community Guidelines, or if we feel you are no longer aligned with our community values.

✦  We grant Ambassadors a limited licence to use the One Roof name and logo solely for the purpose of promoting relevant events for One Roof Members.

    • If you misuse our logo, name, or other IP rights, we may suspend your role as an Ambassador or otherwise end our Agreement with you.
    • If you stop being an Ambassador, you can no longer use the One Roof name, logo or other intellectual property to promote events or your business.
17. Group mentoring

If you use or help lead a group mentoring Program, you agree to keep all information from other Members confidential. You must not share that information without permission of the other Members.

✦ If you are having issues with Members in your group mentoring Program, we encourage you to speak with each other respectfully and openly.

Events
18. Attending our Events

Connecting under our roof… virtually and in real life!

We love connecting with our community in the virtual world and in the real world.

✦ Details for Events we host are set out on the relevant Site page for the Event.

    • For example, the Site page for each Event will outline Event inclusions and details such as Fees, date, time and place.

Buying tickets for Events

You can buy tickets to our Events online. When you buy a ticket to an Event, you agree to these Event terms

✦  If you haven’t paid the Fees for an Event, you might not be able to attend and we might refuse your entry.

✦  We may offer discounted tickets to our Members, such as a discount code.

    • Generally, these discounts are only for Members and must not be shared with non-Members.

✦  When you buy a ticket, it is generally not refundable unless the Event is cancelled or rescheduled.

    • This is because when you buy a ticket, we make venue bookings, hire extra team members, and otherwise make plans on the basis of each Event attendee. These are costs we might not be able to recover if you cancel.

✦  See Changing Events for details of what happened if an Event is cancelled or rescheduled.

Transferring your Event ticket

We know that sometimes things happen, so we understand you might need to transfer your Event ticket to someone else if you can no longer attend.

✦ To transfer your Event ticket, please let us know at least 3 days before of the Event via email to hello@weareoneroof.com.

We may take photos and videos at Events

If it isn’t on Instagram, did it even happen? We love sharing the fun of our Events to encourage others to join our community, and this means photos and videos!

✦ When you attend an Event, you understand that we will likely take lots of photos and videos, and we may use those photos and video to promote One Roof and our Event partners.

19. Changing Events

We might need to cancel or reschedule Events

We might need to cancel, change, or reschedule Events for various reasons.

For example, if a key facilitator becomes unwell, if the proposed Event location is no longer suitable, if restrictions relating to number of attendees or venues change, and other reasons.

✦  Rescheduled Events: If we need to reschedule an Event from its original date, and you aren’t able to attend the updated Event, let us know within 7 days of the rescheduling and we’ll work with you to arrange a refund. Otherwise, we assume you’re happy to come along to the updated Event.

✦  Cancelled Events: If an Event is cancelled, we’ll work with you to refund the Fees.

If we refund or credit you for changes to an Event, that is your only remedy for changes to Events.

✦ You are responsible for other costs, such as accommodation bookings or travel costs to attend an Event.

    • We may need to make changes to Events on short notice.

✦ We’ll contact you via email to keep you up to date on Event details. It is your responsibility to make sure you can receive our emails about Events.

20. Respecting others and acting safely

We aim to create a respectful space at all Events.

✦ If we reasonably believe you are not acting in a respectful, appropriate manner, we may ask you to change your behaviour, leave an Event or otherwise refuse you entry to an Event.

Fixing issues
21. Let us know if you have an issue

We both agree to cooperate to work through issues

✦  If you have an issue, contact us via Hello@weareoneroof.com with the following info so we can help you.

    • Your name and email address;
    • Details of the issue (e.g., about the issue, when it started, what you tried to resolve it so far, etc.);
    • How we can help you resolve the issue; and
    • Relevant information (such as screenshots of the issue or copies of relevant documents).

✦  We’ll confirm we received your complaint within 5 business days and work to investigate and resolve your complaint within 14 days.

✦  If we can’t resolve your issue with you in that timeframe, we will be in touch to set out some proposed next steps.

22. Paying for losses and limiting liability

We limit our liability to you

So we can continue to deliver our Services to our growing community of Visitors and Members, we need to put some limits on our liability to Visitors and Members.

    • Consumers and Small Businesses have specific rights when they buy our Services (see accc.gov.au), and these Terms don’t replace legal rights you have under law.

✦ Unless we directly cause you loss through our negligence or wilful misconduct, we are not responsible for any loss caused by your use of our Services (or any inability to use a Service).

✦ If we can’t exclude our liability, we limit our total liability to you to: re-supplying the relevant Service to you, or paying to you the cost of re-supplying the relevant Services to you.

    • Re-supplying the relevant Service to you, or
    • Paying to you the cost of re-supplying the relevant Services to you.

In some situations, you must pay us if you cause us loss

To the extent allowed by law, you must pay us for any costs we incur that are caused or contributed to by your failure to comply with the Terms or a Policy (including the Community Guidelines) or your use or misuse of our Services, our Site, or One Roof Resources.

      • For example, if you copy someone else’s work and present it as your own at a webinar or Event, and the actual IP owner makes a claim against us, and we suffer a loss as a result, than you must reimburse us for those costs.
      • For example, if you take another Member’s or our Resources and claim them as your own or resell them or give broad access to member only resources, and we suffer a loss as a result, than you must reimburse us for those costs.

Liability reduced proportionately

If either of us is liable under this Agreement, that liability is reduced to the extent the loss or damage was caused or contributed to by any act or omission of the other (or their team or contractors).

    • Nothing in these Terms restricts consumer laws that may apply to your purchase of our Services.
Ending and suspending
23. Ending your Membership

You can end your Membership at anytime and continue to access Perks and Services until the end of your Membership Period.

✦  We send you reminders before your Membership auto-renews for a further period

✦  We’ll just need at least 5 business days to action your request

    • For example, if you are on a Monthly Membership, let us know on the 20th you want to cancel and you can continue to access Services and One Roof Resources until the end of the month.
    • For example, if you are on an Annual Membership that starts on 15th June, and you let us know in February that you want to cancel, you can continue to access Services and One Roof Resources until 14th June.

Ending other Services or Agreements with us

Other specific Services and Programs may have requirements for minimum commitments and other details set out in the Program Terms for that Service (for example, on our Site when you agree to buy a Service online).

24. When can we end this Agreement

We may suspend or terminate a Service and / or our agreement with you at once if:

✦  You do not pay us undisputed Fees when they are due; or

✦  You are in breach of these Terms and / or our policies (such as the Community Guidelines) and either: you cannot fix that breach, or

    • you do not fix the breach after we give you a reasonable time to fix the breach,
    • you do not fix the breach after we give you a reasonable time to fix the breach, or

✦  We reasonably consider mutual trust and confidence no longer exist in our relationship with you, or your behaviour has damaged or is likely to damage our reputation.

Ending this Agreement for convenience

We need the flexibility to respond to market trends, requests from Members, and to balance our internal resources.

If we decide to stop a particular Service or Program, we’ll aim to give you reasonable notice.

✦ We may end an Agreement with you and stop providing Services on at least 30 days’ notice.

Actions after termination or suspension

If we end or suspend your Membership or another Service, or this Agreement because of your behaviour or breach, then:

✦  You are no longer allowed to access Perks or use our Resources,

✦  You must pay for all Services received up until the Agreement ends

General details
25. Other general details

We may change our Terms and update our Policies

When we change our Terms or Policies, we’ll give you reasonable notice, generally at least 30 days.

✦ We’ll put the updated Terms on our Site and send you an email to let you know.

Transferring this Agreement

We use a team of legends to help deliver Services to you – some are our employees and some are subcontractors.

✦  We may assign, subcontract, or transfer some or all our rights or obligations under these Terms without notice to you.

✦  You can’t transfer your membership or other rights or obligations under this Agreement without our permission. This is because our Services and your Membership are personal to you.

Survival

Some rights and obligations under our agreement with you remain in force after these Terms expire or end. These include the rights and obligations under the following sections:

So we can continue to deliver our Services to our growing community of Visitors and Members, we need to put some limits

on our liability to Visitors and Members.

Consumers and Small Businesses have specific rights when they buy our Services (see accc.gov.au), and these Terms don’t replace legal rights you have under law.

Invalid parts severed: If a court of law decides parts of these Terms are invalid or unenforceable, only those parts are severed from the agreement and other parts remain in full force and effect.

No waiver: Partial exercise or delay or failure to exercise rights is not a waiver of rights under these Terms.
Entire agreement: This Agreement outline the whole agreement between you and One Roof concerning the Services or Site access we supply you.

Governing law: The laws in force in the State of Victoria, Australia, govern these Terms and our relationship with you. We both agree to submit to that jurisdiction.

 

27. Dictionary

 

Capitalised words in these Terms have the following meanings:

 

✦  Ambassadors: means the authorised Members who help grow and support our community of Members in specific geographic locations.

 Confidential Information: Includes all material, Intellectual Property, non-public, business-related information, written or oral, whether or not it the owner marks it as such, that is disclosed or made available to the receiving party, directly or indirectly, through any means of communication or observation relating to a party’s business but excludes information that, without the breach of these Terms is already known to the receiving party or becomes publicly known.

✦  Events: means the various in person and online webinars, workshops, panel discussions, networking mixers, and other related Services we deliver.

 Expert Panel: means the group of industry experts and mentors who provide general guidance and support to the members of the One Roof community.

 Intellectual Property (IP): IP means any of the following in any jurisdiction throughout the world: trademarks and service marks, including all applications and registrations, and goodwill connected with the use of them, patents, copyrights, Site, and internet domain names, including all related applications and registrations, trade secrets and confidential know-how, other intellectual property and related proprietary rights, interests, and protections. One Roof Resources forms part of One Roof’s Intellectual Property.

✦  Fees: means the money you pay to us for the Services we provide, such as Membership Fees, as set out on our Site or as otherwise agreed with you.

✦  Member: means a person who buy Services from us, such as a Membership or a paid Event

✦  Membership: means access to our catalogue of Member-only Perks (which may change from time to time) such as access to private Resources, Events, digital networking, consulting, general business information, discounts, educational courses, and other related products and Services.

 Membership Period means the set period of time during which your Membership is active and which you commit to being a Member.

✦  Perks: means the specific inclusions and access to Resources and Events that you get access to with a Membership.

 Program: means extra Services we may offer from time to time, either to Members or to the general public. Details of specific Programs and their inclusions are listed on our Site.

✦  Resources: All material we create, develop, or use to supply you a Service, which might include one or more of the following: access to educational videos, written information, audio, lessons, digital products, classes, workshops, training plans, feedback, verbal or written advice, programs, content on our Site, digital products, eBooks, and / or webinars. One Roof always retains ownership of all One Roof Resources.

✦  Site: including our website weareoneroof.com, our presence on third-party applications such as Humanitix, Mighty Network, LinkedIn, Facebook, and @weareoneroof on Instagram, and other social media platforms.

 Services: means the various services offered by us from time to time, including Events, Membership, online courses and Programs, consulting, networking, general business information, and other related products and services.
